These Terms of Use ("Terms") apply to your access to and use of the websites of Context Visualised Limited ("CoVi Analytics", "we", or "us") and the content and materials made available on the website (collectively, the "Site"). These Terms do not alter in any way the terms or conditions of any other agreement you may have with CoVi Analytics for products, services, or otherwise.

We reserve the right to change or modify the Terms for the Site at any time and in our sole discretion. If we make changes to these Terms, we will provide notice of such changes by posting the revised Terms to the Site and updating the "Last updated" date above, or by sending an email notification. Your continued use of the Site following our notice of the amended Terms will confirm your acceptance of the amended Terms. If you do not agree to the amended Terms, you may not continue accessing or using the Site.

2. Eligibility and account registration

Eligibility. You represent and warrant that you are at least 18 years old and have the authority to enter into these Terms.

Account registration. In order to use certain features of the Site, you may be required to register for an account. If you create an account, you agree to:

  • Maintain and promptly update your account information to keep it accurate, current, and complete

  • Maintain the security of your account and password

  • Accept responsibility for all activities that occur under your account

3. Intellectual property rights

Unless otherwise indicated, the Site and all content, including text, graphics, logos, images, software, and other materials on or made available via the Site, are the proprietary property of CoVi Analytics and its licensors and are protected by UK and international copyright, trademark, and other intellectual property laws.


Limited licence. We grant you a limited, non-exclusive, non-transferable licence to access and use the Site for your personal or internal business purposes in accordance with these Terms.


Restrictions. You may not:

  • Copy, modify, distribute, sell, or lease any part of our content

  • Reverse engineer or attempt to extract the source code of our software

  • Remove or alter any copyright, trademark, or other proprietary notices



4. Acceptable use and user conduct

You agree that you will not use the Site in violation of any law, contract, or intellectual property or other third party right. You further agree not to:


Technical misuse

  • Use the Site in any manner that could damage, disable, overburden, or impair the Site

  • Use any robot, spider, crawler, scraper, AI data harvesting tools, or other automated means not provided by us to access the Site or extract data

  • Introduce any virus, trojan worms, logic bombs, or other harmful material

  • Circumvent security measures or attempt to gain unauthorised access to any area of the Site


Commercial misuse

  • Send unsolicited or unauthorised advertising, promotional materials, spam, junk mail, or chain letters

  • Harvest or collect email addresses or other contact information for commercial purposes

  • "Frame" our Site or make it appear you have a relationship with us without prior written permission


Prohibited conduct

  • Engage in any harassing, intimidating, predatory, or stalking conduct

  • Post or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable

  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity

CoVi Analytics may provide third-party content on the Site, including advertisements, and may provide links to third-party websites (collectively, "Third-Party Content").

No endorsement. CoVi Analytics does not control, endorse, or adopt any Third-Party Content and makes no representations or warranties regarding its accuracy, completeness, or suitability.

Your risk. You acknowledge that CoVi Analytics is not responsible or liable for any Third-Party Content. Your interactions with third parties found on or through the Site are solely between you and such third parties.

External sites. When you leave our Site, our terms and policies no longer govern. You should review the applicable terms and privacy policies of any external site.



6. Disclaimers and limitations

Information purposes. The information provided on the Site is for informational purposes only and should not be construed as legal, financial, or other professional advice unless expressly stated otherwise.


No warranties. To the fullest extent permitted by law, the Site is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement

  • That the Site will be uninterrupted, error-free, or free of viruses or other harmful components

  • The accuracy, reliability, or completeness of any content on the Site


Limitation of liability. To the maximum extent permitted by law, CoVi Analytics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Site.



7. Indemnification

You agree to indemnify, defend, and hold harmless Context Visualised Limited, its officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your breach of these Terms

  • Your violation of any third party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right

  • Any claim that your use of the Site caused damage to a third party

We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defences.



8. Modifications and termination

Site modifications. CoVi Analytics reserves the right to modify, suspend, or discontinue the Site or any features thereof at any time without prior notice.


Account termination. We may terminate or suspend your account and access to the Site at any time, with or without cause, and with or without notice.


Effect of termination. Upon termination, your right to use the Site will cease immediately, but all provisions of these Terms that by their nature should survive termination shall survive.



9. Governing law and dispute resolution

Governing law. These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.


Jurisdiction. You agree that any legal action or proceeding relating to these Terms or your use of the Site shall be brought exclusively in the courts of England and Wales.


Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.



10. Force majeure

CoVi Analytics shall not be liable for any failure or delay in performance under these Terms that is due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fires, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labour, or materials.



11. Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CoVi Analytics regarding your use of the Site and supersede all prior agreements and understandings.
